By accessing or using Cluzta ("the Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is operated by Oz Systems Pty Ltd ("we," "us," or "our"), an Australian company. If you do not agree to these Terms, do not use the Service.
Cluzta is a cloud-based construction management platform that provides tools for project management, AI-powered drawing generation, bill of quantities (BOQ), approvals tracking, contract management, and financial oversight. Features and availability may vary by subscription plan and region.
To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

Cluzta offers the following subscription plans:
Subscription fees are charged in advance on a monthly basis via Stripe. By subscribing, you authorize us to charge your payment method on file. All fees are non-refundable unless otherwise stated or required by law.
You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period. You will retain access until that date, and no refund will be issued for partial months.
We reserve the right to change subscription fees with at least 30 days' notice. Continued use of the Service after the price change takes effect constitutes acceptance of the new fees.

You retain all ownership rights to the content and data you upload or create using the Service ("User Content"). This includes drawings, project files, financial records, and other materials.
By uploading User Content, you grant us a limited, non-exclusive, worldwide license to use, store, process, and display your content solely to provide and improve the Service. We do not claim ownership of your content.
You are solely responsible for the accuracy, legality, and appropriateness of your User Content. We do not review all user-uploaded content and are not liable for any content uploaded by users.
While we perform regular backups, you are responsible for maintaining your own backup copies of important data. We are not liable for data loss.
The Service, including its design, features, code, trademarks, and all related intellectual property, is owned by Oz Systems Pty Ltd and is protected by copyright, trademark, and other laws. You may not copy, modify, distribute, or create derivative works without our written permission.
Cluzta uses AI technology to generate drawings, BOQ, and other outputs based on your inputs. While we strive for accuracy, AI-generated content may contain errors or inaccuracies. You are responsible for reviewing, verifying, and validating all AI-generated outputs before use in construction, regulatory submissions, or any other purpose. We make no warranties regarding the accuracy or suitability of AI-generated content.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
To the maximum extent permitted by law, Oz Systems Pty Ltd shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of or inability to use the Service, including but not limited to lost profits, lost data, business interruption, or construction delays. Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
Cluzta is a software tool and does not provide legal, engineering, architectural, or financial advice. You should consult with licensed professionals before making decisions based on outputs from the Service.
You agree to indemnify and hold harmless Oz Systems Pty Ltd, its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, you will lose access to your account and data. You may request a data export before termination by contacting us.
We may modify these Terms at any time. We will notify you of material changes via email or a prominent notice on the Service. Continued use after changes indicates acceptance. If you do not agree, you must stop using the Service and cancel your account.
These Terms are governed by the laws of Australia. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with Australian law, or in the courts of Australia if arbitration is not applicable. You waive any right to participate in class actions.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
